(2) Where there is any conflict between provisions of this Agreement, the interpretation more favourable to the Consumer shall prevail.

Article 6 — Definitions (1) The terms used in this Agreement are defined as follows:

  1. Online game: a game played by the Consumer by connecting, through a computer, smart device or other electronic device, over the internet to a server designated by the Operator. It does not include arcade machines under the Regulations Governing Electronic Game Arcades, purely local-area connections, or other game services that do not require connection to a game server over a network.

  5. Top-up: the amount prepaid by the Consumer to the Operator, or the balance thereof.
  6. Game nickname: the name of the virtual character set by the Consumer on the game website.
  7. Unauthorised program: any program, other than the online game program and service programs provided by the Operator, the operating system of the Consumer’s equipment, programs assisting the operation of that operating system and programs necessary for internet connection, that is not provided by the Operator and that affects the operation of the Operator’s service programs or packet transmission, so as to affect or alter the operation of the Operator’s online game (including but not limited to key macros, auto-clickers, auto-levelling programs, map-reveal programs and assistance programs).
  8. Program bug: a manner of presentation, mode of operation or game result not foreseen or planned by the Operator when designing the game program.

  14. Game administrator: a person responsible for maintaining the smooth and fair running of the game and for answering questions on game operation or other matters relating to the game service.

Article 7 — Scope of service The scope of the service provided under this Agreement is the provision by the Operator of network servers enabling the Consumer to log in and use the Game service over the internet. It does not include the Consumer’s application to an internet access service provider for internet access; the Consumer shall provide the hardware required for internet access and bear the costs of that access.

Article 8 — Responsibilities and obligations in using the service (1) The Consumer shall not use the Game service for any commercial purpose, such as sending advertising mail to unspecified persons within the game, promoting commercial websites, or selling goods on any website. (2) In addition to complying with these terms, the Consumer agrees to comply with the laws and regulations of the territory of publication. If the Consumer uses websites or online services outside the Operator’s territory of publication, the Consumer agrees to comply with the local laws and internet conventions applicable to those websites. (3) The Consumer shall not use the Services to publish or transmit, in any manner, text, images or files of any form that are false, threatening, unlawful, abusive, defamatory, indecent, obscene, offensive, or that infringe the intellectual property rights of others. (4) The Consumer agrees to fully respect intellectual property rights and is prohibited from publishing text, images or files of any form that infringe the intellectual property rights or other rights of others.

Article 9 — Suspension or interruption of service (1) The Services may experience interruption, malfunction, hardware damage, connection failure or intrusion by hackers. Such events may cause inconvenience, loss of data, alteration of data by third parties or other consequential economic loss to the Consumer; the Operator nevertheless guarantees compliance with Article 22(1) of this Agreement. (2) The Operator may suspend or interrupt the provision of the Services in any of the following circumstances:

  1. Routine or necessary maintenance of system equipment.
  2. Failure or maintenance of the electronic communications service of the Operator’s servers resulting in loss of communication.
  3. Sudden failure of software, hardware or electronic communications equipment.
  4. Force majeure, such as natural disaster, rendering the Operator’s system inoperable.
  5. Other suspension or interruption of service not attributable to the Operator.

Article 10 — Game registration (1) A Consumer applying to use the Game service shall, in accordance with the application procedure, register on the game website personal data consistent with the Consumer’s identification documents, or other necessary information. The personal data registered by the Consumer must permit verification of identity and must be corrected immediately if it is erroneous or has changed. (2) If the Consumer fails to provide accurate personal data, or if the data originally provided is inaccurate or has changed, or if there is any other suspicion of misrepresentation, the Operator may suspend the Consumer’s play and game-history enquiry services until the Consumer provides true or updated data; this does not apply where the Consumer can prove that they are a party to this Agreement.

Article 11 — Charging basis The charging method for the Game service is: ■ Free to play, with points, goods or other services available for additional purchase within the game service. (1) Where the Game service (for example the in-game store or online shop) offers points, goods or other services for additional purchase (for example virtual currency or treasures, advanced items), the Operator shall state the payment methods and product information clearly on the official website home page, the game login page or the purchase page. (2) Where rates are adjusted, the Operator shall publish an announcement on the official website home page, the game login page or the purchase page thirty days before the intended effective date of the adjustment; where the Consumer registered contact details when creating an account, the Operator shall also notify the Consumer using those details. (3) Adjusted rates apply from the effective date of the adjustment. Where the new rate is higher than the old rate, points or game fees already purchased and registered on the official website by the Consumer before the effective date of the new rate shall be charged at the old rate. (4) Where the Operator publishes a description of the charging system for the game on the game website, that system and description also form part of this Agreement. (5) The Consumer shall use payment instruments lawfully held by the Consumer to make top-ups. The Consumer is solely responsible for any dispute arising from the use of third-party payment channels (such as credit cards or proxy top-up platforms), and the Operator is under no obligation to return points or make refunds. (6) The Consumer understands and agrees that in-game virtual currency, items and equipment (collectively “Virtual Items”) form part of the game service and that ownership of them vests in the Operator. The Consumer enjoys only a right of use during the term of this Agreement. Once a purchase is completed (that is, once the points or Virtual Items have been credited to the account), the service is deemed fully performed and no refund request will be accepted on any ground, unless otherwise mandatorily required by law.

Article 12 — Information to be stated for the Game service The Operator shall state the following on the game website and on the packaging of the game package:

  1. The game rating and the prohibited or suitable age group, as required by the Regulations for the Rating of Game Software.
  2. The minimum software and hardware requirements for the Game service.
  3. Where security devices are provided, whether they are free or chargeable.
  4. Where goods or activities involving a chance of winning are offered for direct or indirect, partial or full payment, the contents of the activity, the prizes, the percentage probability of winning and other winning information, together with a notice stating “This is a chance-based item; purchase or participation does not guarantee any particular item.”

The probability referred to in subparagraph 4 means the probability that the Consumer, after payment, obtains the chance-based item or fulfils the conditions set for the activity.

Article 13 — Right to rescind the Agreement The Consumer may, within seven (7) days after commencing play, notify the Operator in writing to rescind this Agreement, without giving reasons and without incurring any cost. In that case, the Consumer may request a refund from the Operator of unused top-ups. Following such rescission, the Operator may take steps to restore the original position, including but not limited to deleting the Consumer’s game characters, account and virtual items.

Article 14 — Effectiveness of the Agreement (1) If the Consumer agrees to all provisions of this Agreement, the Consumer will, after the review period has elapsed, register an account for the first time, enter the web page displaying the terms of this Agreement and select the [Agree] option. (2) If any part of this Agreement is invalid, the validity of the remaining parts is unaffected.

Article 15 — Use of account and password (1) The account and password obtained by the Consumer upon completion of registration are for the Consumer’s own use only. Upon completion of registration, the Operator shall issue one account and password; once set, the account may not be changed. The Consumer may not transfer or lend the account or password to any third party. The Consumer is fully responsible for safekeeping the account and password under this Article; if unauthorised use by another person results from inadequate safekeeping, the Consumer bears that risk. (2) The password may be changed through the modification mechanism provided by the Operator. The Operator’s personnel (including customer service staff and game administrators) shall not proactively ask the Consumer for the password. The Operator shall retain the Consumer’s account and the electromagnetic records attached to it for thirty days after termination of the contract. Where this Agreement is terminated for reasons not attributable to the Consumer, the Consumer is entitled to continue using the account and its attached electromagnetic records if the Consumer applies for renewal within thirty days after termination. If the Consumer has not applied for renewal on expiry of that period, the Operator may delete the account and all data attached to it, unless otherwise provided by law. (3) The Consumer shall manage the account properly on a regular basis, change the password periodically and refrain from downloading illegal software, so as to avoid intrusion by hackers. (4) The Operator may decline to assist with disputes with third parties arising from account sharing, entrusting payment to others, or other fault on the part of the Consumer. (5) The Consumer is strictly prohibited from using third-party platforms not authorised by the Operator for “proxy top-ups” or the purchase of game points. If the use of unlawful proxy top-ups results in the account being stolen, points becoming invalid or a payment dispute (chargeback), the Operator may, without further notice, confiscate Virtual Items, deduct an equivalent amount of points, or suspend or permanently ban the account.

Article 16 — Notification and handling of unauthorised use of account and password or improper transfer of electromagnetic records (1) Where the Consumer or the Operator discovers that an account or password has been used without authorisation, that game electromagnetic records have been improperly transferred, or that security has been abnormally compromised, the Operator shall be notified immediately for verification. Once the Operator has confirmed such circumstances, it may immediately suspend the permissions of that account or password, issue a replacement account or password to the Consumer, and immediately restrict the third party’s right to use the Game service. The relevant handling procedures shall be set out in the game management rules. (2) In the case of the preceding paragraph, once the Operator has confirmed that the facts stated by the Consumer are established, it shall return the top-ups already deducted or provide compensation of equivalent game value, unless the matter is attributable to the Consumer. (3) From the time of temporarily restricting the right to play, the Operator shall immediately notify the third party referred to in paragraph 1, by SMS, email or another method agreed between the parties, to provide an explanation. If that third party fails to provide an explanation within seven (7) days of receiving the notice, the Operator shall restore the improperly transferred electromagnetic records directly to the Consumer or, where restoration is not possible, provide equivalent compensation as agreed between the parties, and shall lift the restriction on the third party after restoration. However, where the Operator has provided a free security device (for example an anti-theft card or phone lock) and the Consumer has not used it, or where the matter is otherwise attributable to the Consumer, the Operator is not liable to restore or compensate. (4) If the third party referred to in paragraph 1 does not accept the Operator’s handling under the preceding paragraph, the Consumer may report the matter and pursue judicial remedies. (5) Where the Operator restricts the Consumer’s right of use under paragraph 1, it shall not charge the Consumer or any third party during the period of restriction. (6) Where a false report by the Consumer causes loss to the Operator or a third party, the Consumer bears all legal liability. (7) If the Consumer raises a dispute with a payment institution on the ground of “account theft” or “unauthorised transaction”, the Operator will submit the login history and top-up records of that account as counter-evidence. If the claim is found to be untrue, the Operator may terminate this Agreement immediately and require the Consumer to compensate the administrative costs and legal fees incurred in handling the dispute.

Article 17 — Retention period, method of enquiry and fees for game history (1) The Operator shall retain the Consumer’s personal game history records for thirty days for the Consumer’s enquiry. Once the thirty-day retention period for electromagnetic records has expired, the Operator is under no obligation to accept an enquiry from the Consumer. (2) The Consumer may apply to inspect their personal game history in writing, online, or in person at the Operator’s service centre, and must submit personal data consistent with their identification documents for verification, using the application method provided by the Operator. The enquiry fee is NT$200, payable by the Consumer. (3) Upon receipt of the Consumer’s enquiry application and the enquiry fee, the Operator shall provide the personal game history referred to in paragraph 1 within seven (7) days, by storage medium, in writing or by email.

Article 18 — Personal data (1) The protection of personal data is governed by the relevant laws and regulations. (2) Except as required by law or by the competent authority, the Operator shall not sell, exchange, lease or disclose the Consumer’s name, email address or other legally protected personal information without the Consumer’s consent. (3) Within the scope permitted by law and for the purpose of performing this Agreement, the Operator may use the Consumer’s personal information to provide the Consumer with game announcements, the user agreement, game management rules and other matters requiring notification under this Agreement. (4) The Consumer agrees that the Operator may compile member statistics from the Consumer’s personal data. (5) Where the Operator is required by the Personal Data Protection Act or other laws to disclose the Consumer’s personal information or game history, it will do so in accordance with those provisions.

Article 19 — Electromagnetic records All electromagnetic records of the Game service (including but not limited to the electromagnetic records generated by the Consumer’s play) belong to the Operator, and the Operator shall maintain the integrity of the Consumer’s related electromagnetic records. The Consumer has the right to use and dispose of those electromagnetic records, but not to transfer them or derive income from them outside the scope of the Game service.

Article 20 — Disclosure of information The Operator shall provide information relating to the Game on the game website and shall update it regularly.

Article 21 — Connection quality (1) Where the Operator plans in advance to suspend all or part of the Game service in order to maintain the systems, software or hardware relating to the Game service, it shall publish an announcement on the official website home page or the game login page seven days in advance. This does not apply to temporary or urgent matters or matters not attributable to the Operator. (2) Where the Consumer is unable to connect to and use the Game service for reasons attributable to the Operator, the Operator shall immediately correct or repair the fault. Where game fees or in-game goods have been deducted from the Consumer during the period of unavailability, the Operator shall return those fees or goods or, where return is not possible, provide other reasonable compensation.

Article 22 — Liability of the Operator and the Consumer (1) The Operator shall, in accordance with this Agreement, maintain its own computer systems so as to meet the level of security that may reasonably be expected according to the technology or professional standards of the time. (2) Where computer systems or electromagnetic records are damaged, or computer systems operate abnormally, the Operator shall restore them as soon as possible after taking reasonable measures. (3) Where the Operator breaches the preceding two paragraphs, or where the Consumer suffers loss due to a game program bug, the Operator shall be liable for damages according to the loss suffered by the Consumer. The Operator’s liability may be reduced if it proves that it was not at fault. (4) Where the situation referred to in paragraph 2 occurs in the Operator’s computer systems, the Operator shall not charge the Consumer until repair has been completed and normal operation resumed. (5) The Consumer agrees that purchased products or services (including but not limited to virtual items) may become unusable as originally configured due to system or program settings or other factors; where the resulting impairment is attributable to the Consumer, the Consumer agrees that the Operator will not compensate for that damage or loss. (6) The Operator may decline to assist with disputes with third parties arising from account sharing or from entrusting others to pay for points or game fees.

Article 23 — Game management rules (1) In order to govern the manner of play, the Operator may establish fair and reasonable game management rules. The Consumer shall comply with the game management rules published by the Operator and with the relevant laws of the territory of publication, and is legally responsible for all content transmitted through the Services. (2) The Consumer agrees and warrants not to publish, disseminate or transmit, in the Game, on the official Facebook fan page or in any other place open to public view, any statement or information that is defamatory, false, threatening, indecent, obscene or that infringes the rights or intellectual property rights of the game company, game agents or others, and not to post statements offering game accounts for sale. (3) Amendments to the game management rules shall follow the procedure in Article 26. (4) A provision of the game management rules is void if it:

  1. Conflicts with a provision of this Agreement.
  2. Deprives or restricts the Consumer’s rights under this Agreement, unless the Operator acts in accordance with Article 24.

(5) To further manage and maintain the quality of the game provided by the Operator, the Consumer agrees that where the Consumer plays using unauthorised programs, virus programs, game program bugs or other means contrary to fairness and reasonableness, the system may automatically retain records of the breach of this Agreement or of the game management rules, including CPU type, operating system type and version, computer name, computer ID and the access path of the improper program. (6) A “warning” under the game management rules means an advisory measure informing a player of the nature of a breach. “The same breach” in Article 24 refers to the nature of the breach so notified. (7) All products and services provided by the Operator, including but not limited to virtual equipment and electromagnetic records, belong to the Operator or the relevant rights holder. The Consumer understands and agrees to use such virtual equipment in the normal and ordinary manner according to the game’s settings, until it is naturally depleted or the game service terminates. (8) The specific territories for which the Operator holds game operating rights are stated separately on product packaging and on each game’s official website; the Consumer shall pay careful attention to, and comply with, those territorial restrictions. (9) The Consumer shall not use any method to provide operating (or hosting) services or intermediary services for the Game, or to intercept, emulate or redirect it. Prohibited methods include but are not limited to setting up private servers, reverse engineering, modifying the Game, adding new components, or using any tool to provide game operating (or hosting) services.

Article 24 — Handling of breaches of the game management rules (1) Except as otherwise provided in this Agreement, where there is sufficient evidence that the Consumer has breached the game management rules in the Game, the Operator shall publish an announcement on the official website home page, the game login page or the purchase page, and shall notify the Consumer using the contact details registered by the Consumer. On a first breach, the Operator shall notify the Consumer to remedy it within a specified period; if the Consumer fails to do so after such notice, the Operator may restrict the Consumer’s right to play according to the seriousness of the case under the game management rules. If the Consumer breaches the game management rules again for the same reason, the Operator may immediately restrict the Consumer’s right to play under those rules. If the Consumer breaches the game management rules for the same reason three (3) times or more, this constitutes a material ground on which the Operator may terminate this Agreement; the Operator may terminate this Agreement at any time and immediately suspend the Consumer’s right to play under the relevant game management rules. (2) Each restriction of the Consumer’s right to play imposed by the Operator under the relevant game management rules shall not exceed seven (7) days. (3) Except where grounds for termination exist, measures taken by the Operator against the Consumer under the game management rules shall not affect the rights to which the Consumer is entitled under this Agreement.

Article 25 — Right of complaint (1) Where the Consumer is dissatisfied with the connection quality, game management, fee charging or other service quality provided by the Operator, or objects to a measure taken by the Operator under the game management rules, the Consumer may lodge a complaint at the Operator’s service centre, or by email or in writing, within seven (7) days from the day after receipt of the notice. The Operator shall respond with the result of its handling within fifteen (15) days of receiving the complaint. (2) The Operator shall clearly state on the game website or in the game management rules its service hotline, customer service email address and other contact information, together with a 24-hour complaint channel. (3) Complaints by a Consumer concerning the use by a third party of unauthorised programs or other conduct affecting the fairness of the game are handled in accordance with paragraph 1.

Article 26 — Amendment of the Agreement (1) When amending this Agreement, the Operator shall publish an announcement on the game website home page and the game login page, and shall notify the Consumer using the contact details registered by the Consumer. An amendment is ineffective if the Operator fails to publish such an announcement. (2) Within fifteen (15) days after that notice is received:

  1. If the Consumer does not object, the Operator will continue to provide the Game service under the amended contract.
  2. If the Consumer objects, the matter is handled as a termination of the contract by the Consumer.

Article 27 — Termination of the Agreement and refunds (1) The Consumer may notify the Operator at any time to terminate this Agreement. (2) The Operator may agree with the Consumer that, if the Consumer does not log in to the Game service for more than one year, the Operator may notify the Consumer to log in; if the Consumer still does not log in within fifteen days of receiving that notice, the Operator may terminate this contract. (3) Where any of the following applies to the Consumer, the Operator may, after informing the Consumer by announcement on the game website home page or game login page and via the contact details registered by the Consumer, immediately terminate this Agreement in whole or in part:

  1. Malicious attack on or damage to the Operator’s computer systems using any system or tool.
  2. Playing by means of unauthorised programs, virus programs or game program bugs, or otherwise contrary to the normal settings of the game or to fairness and reasonableness.
  3. Purchasing points or in-game goods by impersonation, fraud or other false or improper means.
  4. Being found by a judicial authority to have engaged in any unlawful conduct.
  5. Breaching the game management rules for the same reason three times or more and failing to remedy after notice under Article 24.

(4) Where the Operator errs in finding the facts referred to in the preceding paragraph, or is unable to obtain evidence, the Operator is liable for the damage caused to the Consumer by the termination. (5) On termination of this Agreement, the Operator shall, after deducting necessary costs (including but not limited to channel handling fees, marketing bonus points, the value of gifts and administrative handling fees), refund the Consumer’s unused purchased points or game fees within thirty days by cash, credit card, money order or cheque sent by registered mail, or deal with those points or fees in a manner agreed between the parties. If the Consumer has previously engaged in malicious refund or payment-dispute conduct, the Operator may additionally deduct from the refund the dispute-handling fees so incurred (such as arbitration fees charged by Mastercard or Visa).

Article 28 — Cessation of operations Where this contract is terminated because the Operator ceases to operate the Game service, the Operator shall publish an announcement on the official website home page and the game login page thirty days before termination; where the Consumer registered contact details when creating an account, the Operator shall also notify the Consumer using those details. Where the Operator ceases operations without publishing and giving notice within that period, it shall refund the Consumer’s unused purchased points or game fees without deducting necessary costs, and shall provide other reasonable compensation.

Article 29 — Service of notices (1) For all matters under this Agreement, the Consumer agrees that the Operator may give notice by announcement on the game website home page or the game login page and by using the contact details registered by the Consumer; if those registered contact details change, the Consumer shall notify the Operator immediately. Where the Operator elects to give notice using the contact details registered by the Consumer, a written notice is presumed served upon reaching the Consumer, and an email upon entering the Consumer’s email server. (2) Where service cannot be effected due to the Consumer’s intent or negligence, the Operator is not liable for any damage caused by the failure of service.

Article 30 — Intellectual property All works and materials in the game service or on the game website provided by the Operator, and all related peripheral products, together with the copyright, patents, trade marks, trade secrets, other intellectual property rights, ownership and other rights in them, belong to the Operator or its rights holders. Except with the prior lawful authorisation of the Operator or its rights holders, the Consumer may not reproduce, transmit, adapt, edit or otherwise use them in any form or for any purpose, failing which the Consumer bears the relevant legal liability.

Article 31 — Governing law This Agreement, the online game provided under it, the game management rules and regulations and their interpretation and application, and the rights and obligations arising between the parties under this Agreement, are governed by the local law of the territory of publication, as agreed by the parties.

Article 32 — Dispute resolution For disputes arising under this Agreement, if litigation becomes necessary, the parties agree that the courts of the Hong Kong Special Administrative Region shall be the court of first instance, provided that this stipulation does not exclude the application of Article 47 of the Consumer Protection Act and Articles 28(2) and 436-9 of the Code of Civil Procedure.

Article 33 — Special stipulations (1) Where the parties enter into separate documents in respect of particular matters, including but not limited to agreements or settlement contracts (“Supplementary Terms”), the Supplementary Terms are deemed to supplement this Agreement. Where any provision of this Agreement conflicts with the Supplementary Terms, the Supplementary Terms prevail; matters not stipulated in the Supplementary Terms are governed by the relevant provisions of this Agreement. (2) The Consumer agrees that all information learned in the course of negotiating and concluding Supplementary Terms with the Operator — including the Operator’s non-public business information, trade secrets, confidential information, activity plans, business decisions and contract contents (including but not limited to the matters stipulated in the Supplementary Terms) — and the process of negotiating and concluding them, are confidential, and may not be disclosed directly or indirectly to any third party, nor may the Consumer assist any third party in obtaining that information, without the Operator’s written consent.
